Terms of Service

Welcome to LAC SHOP. These General Terms andConditions of Sale ("Terms"), along with applicable Service Terms("Service Terms"), and Policies posted on our Services forms theagreement ("Agreement") between LAC SHOP, Inc. d/b/a LAC and/or its affiliates(“LACSHOP" or "we" or "our" or "us") and you ("you" or "your" or "User") governing your access to and use of our sites, mobile applications, platforms,tools, products, and services ("Services"). When accessing orutilising our Services, you acknowledge and consent to the terms of theAgreement If you are aBuyer, these Terms, particularly those commencing with section 5, also apply toyou and establish the terms and conditions under which you purchase Items.

If you are using our Services on behalf of or as an agent for any third party, yourepresent and warrant that you are authorised to commit that third party to theAgreement. In such cases, the terms "you," "your," and"User" may also refer to the third party. When you choose to utilisespecific Services, you consent to the Service Terms and any supplementarypolicies, guidelines, and FAQs that are accessible to you within the Services,such as those located here ("Policies") and our Privacy Policy. Themeanings of capitalised terms are as defined in this Agreement. In the event ofa conflict between these General Terms and any Service Terms, the Service Termswill take precedence with respect to the use of the relevant Service, and bothwill take precedence over the Policies. 

Kindly review these Terms withattention. They encompass critical information regarding the Services that areprovided to you, the terms and conditions of sale for your transactions, andthe charges, taxes, and fees that you may be required to pay. These Termsencompass a class action waiver, future modifications to these Terms,limitations of liability, and the resolution of disputes through arbitrationrather than in court, among other things. If you do not agree to all of thefollowing, you are not permitted to use the Services. By accessing or using ourServices in any form, you agree to these Terms. 

ARBITRATION NOTICE AND CLASS ACTION WAIVER: EXCEPT FORCERTAIN TYPES OF DISPUTES DESCRIBED IN THE ARBITRATION SECTION BELOW, YOU AGREETHAT DISPUTES BETWEEN YOU AND US WILL BE RESOLVED BY BINDING, INDIVIDUALARBITRATION. YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT ORCLASS-WIDE ARBITRATION.

Utilised inthis Agreement:
•      The term"Service(s)" encompasses our websites, social media platforms,marketplace, tools, products, and services.
•      "On the Services"refers to any of LAC SHOP's website(s) and services, whether they are offeredonline or offline, directly or indirectly, including written communications.
•      The term "User"refers to any individual or entity that utilises the Services in any capacity,including yourself.
•      The term "Buyer"refers to any User who utilises the Services to make offers, consult about,communicate about, or purchase Items.
•      The term "Item"refers to any artwork, product, or property that is listed, offered, marketed,or otherwise made available through the Services.

1. Role of LAC SHOP

 The roleof LAC SHOP is to provide a marketplace that provides users with the ability tolist, peruse, and purchase items in a variety of pricing formats. Thismarketplace consists of a variety of tools and features. Any advice we offer aspart of our Services, including pricing, shipping, listing, and procurement, issolely for informational purposes. You are free to choose whether or not toimplement it. Buyers who utilise our Services are autonomous entities that aresolely accountable for any transactions they may engage in through theServices. We are not a party to any sale transaction that may occur betweenArtists and Buyers, and we are not the agent or fiduciary of these parties forany reason (including in connection with the sale, purchase, shipping,packaging, storage, handling, or dispute of any Item). We may assist in thefacilitation of communication, payment, shipping, or other services betweenBuyers and Artists, which are provided for the convenience of our clients. LACSHOP's statements regarding any Item, including descriptions, conditionreports, information, pre-sale estimates, and other statements, are not arepresentation of fact, but rather a statement of belief that is solely basedon the information provided by the Artist itself. No representation, warranty,or assumption of liability of any kind will be made by us in connection withany third-party terms, statements, or information, including those provided bythe Artists. Occasionally, LAC SHOP may sell Items through the Services ("LACSHOP Sale"). In such cases, we will explicitly designate ourselves as theSeller on the Services. In all other instances, we do not manufacture, own,sell, inspect, or take possession of the Items available on the Services. Wereserve the right to determine and control all aspects of the Services, inwhole or in part, including the right to: (i) re-design, revise, refuse, add,or remove any aspect of the Services (including the appearance, design, andfunctionality of the Services or any Content, as defined below); and (ii)limit, modify, terminate, suspend, or refuse the use of any or all of ourServices to anyone at any time. Regardless ofwhether or not you register for a LAC SHOP account, this Policy applies to allof our Services. This Policy governs the manner in which we acquire, maintain,distribute, and utilise information. This Policy does not apply to any entitythat we do not own or control, nor to any individual that we do not employ ormanage. In the event that you are directed to a third-party site while usingour Services, you acknowledge and consent to the policies of the third-partysite. For the purpose of avoiding any misunderstanding, it is anticipated thatany third party with whom we share Personal Information will provide the sameor equivalent level of protection for Personal Information as outlined in thisPolicy.

2. Using LAC SHOP’s Services

We provide a diverse selection ofservices, some of which have supplementary eligibility requirements. We willinform you of those requirements in the Agreement or in another manner that isrelevant to the Services. In order to utilise our Services, you acknowledgethat you:

2.1. satisfy all relevant eligibilitycriteria;
2.2. have all necessary rights andauthority to enter into a legally binding contract, are above 18 years old andcan perform your obligations under this Agreement; if you are a business, thatyou are duly organized, validly existing, and in good standing under the lawsof the country in which your business is registered;
2.3. will comply with all laws, rules andregulations (“Laws”), Service Terms, Policies, intended and authorized use of theServices, and third-party rights including data privacy any intellectualproperty rights;
2.4. are not located in a country embargoedby the United Kingdom and are not on any sanctions, prohibited or restrictedparty lists; and will not transact with any party in the Services with whomtransactions are prohibited under economic or trade sanctions Laws;
2.5. are solely responsible for maintainingthe truthfulness, accuracy and confidentiality of your LAC SHOP Buyers and forall activities that occur through your order information. You are alsoresponsible for maintaining the security of login credentials and agree tonotify us immediately if you suspect or become aware of any unauthorized accessto or use of your account credentials or any other breach of security on our Services;and you cannot transfer, lease, or sublicense your account;
2.6. are responsible for all of your ownexpenses and for providing any equipment you require in connection with youruse of the Services;
2.7. have all necessary rights andauthority to offer or otherwise able to sell an Item;
2.8. will pay for Items purchased by you orrelease for shipping Items sold by you, and will timely cooperate orcommunicate with us or another party to complete any transaction, shipment ordelivery;
2.9. willfurnish information or supporting documentation to confirm your identity,transactions, financial information, or tax-exempt status, or as we otherwisedetermine necessary, in order to conduct the requisite Know Your Customer orother diligence;
2.10. will not take any action under theAgreement that conflicts with your obligations to any third party;
2.11 will not engage in anti-competitiveor abusive behaviour, manipulate the price of any Item, or interfere with thelisting or transaction of any other User;
2.12. will not provide, publish, ortransmit information about yourself or your Item(s) that is deceptive,misleading, abusive, obscene, vulgar, pornographic, or indecent; and will notcircumvent any suspension or termination of your transaction;
2.13. will not misrepresent your identityor relationship with any individual or entity, including LAC SHOP or an artist;
2.14. will notattempt to, assist, or encourage any other individual or entity to violate theAgreement;
2.15. will notaccess our Services by any means other than the interface and instructions thatwe provide; access, tamper with, or use non-public areas of our Services, ourcomputer systems, or the technical delivery systems of our service providers;breach, disable or circumvent any security or authentication measures on or inconnection with our Services; forge any TCP/IP packet header or any part of theheader information in any email or posting; interfere with the normal operationof our Services or the access of any User, including transmitting any viruses,spyware, scraping, crawlers, data mining or harmful code, embed links,advertising, chain letters, spam or pyramid schemes of any kind, use anyartificial intelligence systems, machine learning models or tools; flood ourServices with excessive requests or traffic; or take any other action thatcreates (in our sole estimation) an unreasonable or disproportionately largeload on our servers or systems;

2.16. will not copy, modify, aggregate,adapt, translate, reverse engineer, decompile, mirror, frame, disable, publiclydisplay, reproduce, create derivative works from, perform, distribute, orotherwise use any portion of the Services or Content in any way, except asexpressly permitted by LAC SHOP or the applicable third-party rights holder;

2.17. The User information (including emailaddress, name, or location) will not be harvested, reverse engineered, orotherwise collected or used without their express consent or beyond the scopeof their consent; 2.18. will not commercialize any Services,Content, information, data or software without LAC SHOP’s or the applicable third partyrights holder’s prior express permission;
2.19. will not remove, conceal, modify ortamper with any copyright, trademark, or other proprietary marking or notice,or any digital watermark or other technical measure used to indicate the sourceor ownership of any image or other Content;
2.20. will not export or re-export any LACSHOP application or tool, except in compliance with the export control Laws;will not use funds connected with any criminal activity or in violation ofapplicable anti-money laundering Laws; and
2.21. will refrain from engaging in anyabusive or inappropriate behaviour that could potentially undermine the servicesand marketplace of LAC SHOP.

We may monitor your activity, communications, and UserContent within the Services. We may, in our sole discretion and withoutlimiting other remedies, investigate suspected violations, limit, suspend, orterminate your account and access to our Services, assess fees and recovery ofexpenses for monitoring and enforcement, suspend, remove, edit, and/or notdisplay Item listings or User Content, reduce or eliminate any discounts,cancel pending transactions or offers, and take technical and/or legal steps toprevent you from using our Services if we believe you are violating theAgreement or abusing LAC SHOP and/or our Services in any way. We may provide aprocess that enables Users to report alleged violations for us to consider andaddress through one or more of these options, at our sole discretion. Wereserve the right to report and disclose any activity, information, or material(including User information, IP addresses and traffic information, usagehistory, posted material, and transaction information) to appropriate lawenforcement officials, regulators, financial institutions, Payment Processors,or other third parties in order to cooperate with governmental requests, complywith applicable laws, resolve disputes, ensure the integrity and operation ofthe Services, or as LAC SHOP otherwise deems necessary without informing you.

3. LAC SHOP's Content

The Servicesmay provide access to content that encompasses a broad spectrum of subjectmatter and art. "Content" may encompass a variety of materials, suchas: (i) information, messages, data, images, illustrations, posts, reports,articles, text, files, links, designs, graphics, descriptions, audio, videos,and other materials; (ii) the registered and unregistered trademarks, logos,trade names, trade dress, service marks, trade identities, and otherdistinctive brand features of various parties (collectively,"Marks"); and (iii) other forms of intellectual property. Inaccordance with the standard functionality and limitations of our Services, youare permitted to access and view the available Content exclusively for yourpersonal, non-commercial use. Certain Services may permit you to post, embed,or transmit Content in a manner that is accessible to others on our Services orin other online locations (e.g., other websites and social media services). Theavailability of these Services does not grant you permission to reproduce,distribute, or otherwise utilise the Content in any other manner. The Agreementdoes not grant any licence or right to use any Mark displayed on the Services,whether by implication or otherwise, without the express written permission ofLAC SHOP or the applicable third party rights holder. Content is typicallyuncensored. You acknowledge that you may be exposed to Content that isinaccurate, misleading, or contain nudity, as well as other visual or writtenmaterial that some individuals may find offensive, inappropriate, or otherwiseobjectionable. It is your responsibility to ensure that minors are not able toaccess Content that you deem inappropriate for them if you permit them toaccess the Services.

3.1. LACSHOP's Content. 
We (or our third-party licensors, as applicable)are the exclusive owners of all rights, title, and interest in and to the Services,the Content (excluding your User Content (as defined below), the look and feel,design, and organisation of the Services, and the compilation of Content on theServices, including all intellectual property rights therein, registered andunregistered Marks of LAC SHOP and third parties. The property of all Marksthat appear on the Services and are not owned by LAC is that of theirrespective proprietors. You acknowledge that the Agreement and your authoriseduse of the Services or any Content do not grant you any ownership rights. Youwill not use any LAC SHOP Mark or URL in a manner that is likely to causeconfusion or incorrectly suggests our affiliation with or endorsement of anyperson, entity, event, product, or service. Additionally, you will not use anymeta-tags or other hidden text or metadata containing any LAC SHOP Mark or URLwithout our express prior written permission. We retain all rights that are notexplicitly granted to you in these Terms.

3.2. User Content. 
It is your responsibility to ensure that the Content you submit,post, publish, or otherwise provide through the Services ("User Content")is not regarded as confidential or secret. You also acknowledge that we may useUser Content in any manner that is consistent with the Services. You herebygrant us a non-exclusive, worldwide, perpetual, irrevocable, royalty-free,sublicensable right and license to store, process, reproduce, distribute,publish, adapt, modify, and otherwise use your User Content in any and all media,whether currently known or later developed, for any lawful purpose, includingwithout limitation for promotional and/or commercial purposes. The right toexploit all intellectual property rights in the User Content is included inthis grant. In the event that we or our authorised licensees use your UserContent, you waive any rights you may have to inspect, approve, or receivecompensation, as well as any claim you may have against us or our authorisedlicensees for any alleged or actual infringements or misappropriation of anyintellectual property rights in your User Content. You retain ownership of anyintellectual property rights that you may possess in your User Content;however, this Agreement does not limit any other rights that we may have or subsequentlyacquire with respect to your User Content, such as rights under applicable lawsor other licenses. Some User Content may be marked to suggest that we mayreceive compensation for the placement or advertisement. This marking isintended for general informational purposes only and does not constitute anendorsement, representation, or warranty, on our part. You acknowledge that LACSHOP is under no obligation to evaluate or screen User Content, and UserContent does not reflect LAC SHOP's views.

3.3. Copyright Policy; ReportingUnauthorized Content. 
The intellectualproperty rights of others are held in high regard by us, and we expect you todo the same. Please adhere to the procedures outlined in our Copyright Policyif Content that you own or control has been published on the Services in amanner that infringes upon your copyright rights and you wish to have itremoved. If we receive a report of infringement that alleges that your UserContent infringes upon the intellectual property rights of another party, wewill take the necessary action in accordance with the Agreement and the DigitalMillennium Copyright Act ("DMCA").

4. Third Party Services

Through the Services, we may link to,recommend, or otherwise make available third-party websites, content, products,software, or services ("Third Party Service(s)"), including throughplug-ins, extensions, and links. Third-party services, such as paymentprocessors or identity verification services, may be necessary for certainServices. The use of any Third Party Service and any exchange of data betweenyou and a Third Party Service is solely between you and the applicable thirdparty, and you assume all risk. Before accessing or utilising the Third PartyService, you are accountable for reviewing and adhering to the eligibilityrequirements, registration information, and terms and policies of the ThirdParty Service provider. Some of the software utilised in our Services may bedistributed under an open source licence, which we will provide to you. Theopen source licence may include provisions that supersede certain aspects ofthis Agreement in relation to the software's use.

5. Conditions of Purchase

Buyers have theoption to acquire an Item through various pricing formats, such as making atimed offer to purchase an Item using the Services (collectively,"Purchase"). When making a purchase, you, the buyer, consent to thefollowing:

5.1. Youwill fill in your information or any Third-Party Service as necessary.
5.2. Beforemaking a Purchase, you are accountable for reviewing all pertinent informationthat is accessible through the Services and any other inspections orinvestigations, or requesting any supplemental documentation that is necessaryto assure yourself. We cannot guarantee the availability of a certificate ofauthenticity, professional valuation, or other supplemental documentationunless the listing explicitly indicates that it is available. You have theoption to request that us provide supplementary condition reports at your ownexpense.
5.3. Imagesand illustrations are intended solely for identification purposes; alldimensions are approximate. Other defects may exist in the items that are notexplicitly mentioned in the listing or in a condition report.
5.4. LACSHOP is not liable for the condition of the frame if an item is framed.
5.5. Alloffers are considered binding upon submission and cannot be modified or revokedwithout our express written assent, except in the event that we deem itappropriate at our sole discretion.
5.6. In the eventthat the Artist accepts your offer, you are obligated to pay the Total PurchasePrice. The "Total Purchase Price" is the total of the following: (i)the hammer price or agreed upon price (both of which are considered the"Item Price"); (ii) any applicable buyer's premium; (iii) anyapplicable artist resale royalty; (iv) all shipping, packing, and insurancecosts; (v) any applicable Transactional Taxes (as defined below); and (vi) anyother applicable payments. If the Item is shipped internationally, the Buyermay be responsible for supplementary customs duties, fees, and expenses thatare not included in the Total Purchase Price or collected by LAC SHOP. Buyersshould be aware of this situation.
5.7. Wemay require you to deposit a portion of any offer that you place or providevalid credit card information, bank information, or other accepted paymentinformation in your name ("Payment Method"). Your deposit will berefunded to you if your proposal or offer does not lead to a finalisedtransaction. In the event that it does, your deposit may be applied to theappropriate portion of the Total Purchase Price;
5.8. Allpurchases are considered final and cannot be cancelled by the purchaser unlessotherwise specified in this document;
5.9 Youwill guarantee that the transaction is finalised in a timely manner. Thisimplies that you will: (i) pay the Total Purchase Price by the Payment Deadline(as defined below); (ii) provide any information or documentation or completeany procedures necessary to process the transaction or ship the Item; and (iii)refrain from attempting to cancel a transaction for any reason that is notexpressly permitted herein.

6. Receipt andUse of User Information

In the courseof your use of the Services, you may obtain or otherwise obtain access to thenames, contact information, address, payment information, or other identifyinginformation of other Users ("User Information"). This may occur whenyou send or receive inquiries, bid on or win an Item, or purchase, sell, orship Items. You acknowledge and consent to the following: (i) the strictconfidentiality of User Information; (ii) the exclusive use of User Informationfor the specific purpose for which it was provided; and (iii) the prohibitionof using User Information to send unsolicited marketing emails or otherunsolicited communications, unless a User has provided express consent to doso. Once a transaction has been confirmed, the Buyer and Seller each authoriseus to disclose their User Information to the other party and shipping providers(as applicable) or as otherwise necessary to facilitate the transaction,notwithstanding any terms, Policies, or statements to the contrary. They alsoagree to work directly with other parties to successfully complete the transaction. In order to prevent any misunderstanding, LAC SHOP is under noobligation to disclose any User Information to any other User for any purposeat any time.

7. LAC SHOP’s Buyer Guarantee

If specified onthe Services, specific Buyer Guarantees may be applicable to specificPurchases. For the purpose of clarity, Buyer Guarantees are not provided fortransactions or communications that are conducted outside of the Services orfor transactions in which payment is not remitted through LAC SHOP Pay. Theapplication and resolution of a dispute under the Buyer Guarantees are subjectto our sole discretion and are governed by section 21 (User Disputes) below.

8. Payment

Upon the confirmation of any Online Purchase, the sale contractbetween the successful Buyer and the Seller is concluded and the Buyer must paythe Total Purchase Price: (i) immediately upon the confirmation of a Purchase.

8.1. Payment at LAC SHOP. Payment at LAC SHOP. At ourdiscretion, we may accept payment from Buyers via cheque, wire or banktransfer, or credit or debit card. We are not obligated to accept payment byany other method. In order to confirm the validity and functionality of any creditcard you have provided; we may initiate a provisional charge or authorizationof £0.01. Upon verification of the credit card, this sum will be reimbursed. Itis strictly prohibited to present any payment method that you are notauthorised to use. We reserve the right to refuse the use of specific paymentmethods (such as specific categories of credit cards), impose restrictions onany credit card order, and/or employ third-party payment processors at our solediscretion. The British Pound Sterling (GBP) is the currency in which all LACSHOP Pay transactions must be conducted. Unless otherwise specified in writing,payment must be made in GBP if an item is listed in any other currency. Usersare accountable for any currency costs, bank, processing, surcharge, or similarfees that are associated with their payment selection, as well as any foreignexchange fluctuations. Buyer authorization. The Buyer irrevocably authorises usto charge or debit the Total Purchase Price, as well as any additional costsincurred, using any payment information the Buyer has provided, regardless ofwhether the Buyer has provided such payment information in connection with thetransaction at issue. The Buyer will be personally responsible for the TotalPurchase and all other amounts that are otherwise due if any credit card ordebit payment is not approved or reversed for any reason. The Buyeracknowledges that they are responsible for informing us directly in writing ofany claims or issues related to any payment that has been made to us. We willnot be held accountable to any Buyer or Seller if we allow a Seller toterminate an order due to an unsuccessful authorization, charge, or debit onthe Buyer's payment method. Transaction Limits. We may establish transactionlimits that pertain to the value of any transaction or remittance processed, orthe cumulative value or volume of all transactions or remittances processedwithin a specific time frame, as a security measure.
8.2. Buyer Default. LAC SHOP may exercise one or more of thefollowing remedies in the event that the Buyer fails to remit the TotalPurchase Price by the Payment Deadline, reverses any previously made payment,or otherwise fails to complete any transaction in accordance with thisAgreement ("Buyer Default "):
8.3.1. rejector request a deposit from the Buyer for future proposals.
8.3.2. chargeinterest on all amounts owed from the Payment Deadline until the date receivedin cleared funds at the lesser of: (a) 15% per annum or (b) the maximum ratepermitted by applicable law;
8.3.3. Cancelthe sale of the Item and/or retain any payment of the Total Purchase Price asliquidated damages.
8.3.4. TheBuyer will be responsible for the shortfall in the event that the Item isresold for less than the original Item Price and Total Purchase Price at LACSHOP's discretion. 
8.3.5. Initiatelegal proceedings to recoup the total purchase price.
8.3.6. imposea cancellation fee that is equivalent to the fees or commission that LAC SHOPwould have received on the item in question, or 15% of the item price,whichever is greater.
8.3.7. compareany outstanding amounts owed by the Buyer with any amounts that we may owe the Buyer.
8.3.8. TheBuyer's User Information will be disclosed to the Seller in order to facilitatethe commencement of legal proceedings to recover the outstanding amounts.
8.3.9. charge theBuyer for any outstanding portion of the Total Purchase Price and anyadditional owed amounts using any Buyer Payment Method, regardless of whetherthe Buyer provided such payment method in connection with the transaction atissue; and/or
8.3.10. take any otheraction that we deem necessary or appropriate.The defaultingBuyer will be responsible for the Total Purchase Price and is also liable to usfor any and all additional costs, expenses (including reasonable attorneys'fees), interest, and damages of any kind that are incurred in connection withthe Buyer Default, the collection of any amounts due from the defaulting Buyer,and/or (if applicable) the return and resale of the Item at issue. The Buyerconsents to these remedies without prejudice to any rights that the Artist mayhave or any other rights or remedies that LAC SHOP may have at law or inequity.There is no obligation. Despite any statement in this Agreement orelsewhere (whether written, oral, or implied), we are under no obligation toenforce any payment from any Buyer or to take any legal action or other actionagainst any Buyer that fails to make any payment under anycircumstances.Security interest. LAC SHOP retains, and the Buyer grants to us,a security interest in each Item purchased by the Buyer and in any otherproperty or money of the Buyer in, or coming into, our possession, as securityfor the full payment of all outstanding amounts due to LAC SHOP and ouraffiliates by the Buyer. Money or property may be utilised in accordance withthe Uniform Commercial Code or other relevant legislation, which authorisessecured creditors to do so. In the event that we exercise a lien over propertyin our possession due to the Buyer's default, we will notify the buyer. Thetermination of our security interest in any individual Item will occur upon theactual delivery of the Item to the Buyer or the Buyer's agent. The Buyerirrevocably authorises LAC SHOP to pledge the Buyer's property in ourpossession to our affiliates as security for the payment of any outstandingamount due in the event that the Buyer is in default of payment to any of ouraffiliates, whether by actual or constructive delivery. The Buyer will beinformed by LAC SHOP if the Buyer's property has been transferred to anaffiliate through a pledge.

9. Shipping

Unlesswe have otherwise agreed in writing, the Buyer and Seller are solelyresponsible for the packaging, handling, pickup, shipping, and fulfilment ofeach Item, as well as all associated risks and costs. LAC SHOP is not involvedin this process. We may, but are not required to, offer assistance in theshipping process, such as advocating for third-party shipping providers orfacilitating communication or payment between the Buyer and shippers. We willnever assume custody, physical possession, risk, or responsibility for anyproperty, unless otherwise specified in writing.
9.1. Item Release.Within seven days of LAC SHOP's confirmation that the Buyer has paid the totalpurchase price, the Item will be released into the Buyer's physical possession.In the event that a Buyer requests to retrieve the Item, LAC SHOP will makeevery reasonable effort to make the Item available to the Buyer or promptlynotify LAC SHOP and the Buyer so that the Buyer may choose an alternativedelivery method.
9.2. Costs ofShipping and Related Services. Unless LACSHOP agrees otherwise, the Buyer is obligated to cover all shipping, packaging,and transit insurance fees and costs for the purchased Items. When purchasingan item, a valid delivery address must be provided by the buyer, and LAC SHOPmust provide an accurate pick-up location when listing an item. The Buyer maybe obligated to pay supplementary shipping costs, storage fees, or taxes if theBuyer: (i) fails to disclose any delivery-location-specific factors; (ii) failsto provide any required information or secure any necessary permits or licencesin a timely manner; (iii) changes their delivery address or fails to promptlyconfirm their delivery address after paying the Total Purchase Price; (iv) failsto comply with their obligations under the Agreement; or (v) otherwise fails tocomply. The LAC SHOP is responsible for the payment of all pre-collectionwarehouse, storage, and insurance costs, as well as any fees associated withthe release of the Item into unrestricted circulation, in the context of theBuyer, the shipping provider, and the LAC SHOP.
9.3. Shipments toother countries. The Buyer consents to thenecessity of registering for a customs number or providing personal informationto the shipping company in order to expedite the shipping process if the Itemis dispatched internationally. The Buyer is liable for the payment of anycustoms duties, import taxes, or fees that are imposed on the Item by thecountry of export and import into the Buyer's delivery country. The Buyer isalso accountable for the acquisition or completion of any declarations,permits, or licences that are necessary for the export and/or import of theItem. It is important for buyers to be aware that the amounts collected by LACSHOP do not include these additional charges. Consequently, they must be paidseparately to the relevant governmental authority (usually through the cargocompany or customs broker). In addition, buyers are cautioned that: (i)cross-border deliveries are subject to inspection and opening by customsauthorities; (ii) the resale of specific items may be prohibited by the laws ofcertain countries once they are imported; and (iii) certain countries mayreserve the right to purchase specific items exported from those countries (sometimesreferred to as a "right of pre-emption"). In order to prevent anymisunderstanding, Sellers are prohibited from listing and/or exportingrestricted materials in accordance with our Restricted Materials Policy. TheBuyer is wholly responsible for the maintenance of all records required by theUnited Kingdom or other government agencies, as well as the customs and/orother laws and regulations. The Buyer is obligated to review all documents anddeclarations that have been prepared and/or filed with a customs authority,other government agencies, and/or third parties. The Buyer is also obligated topromptly notify LAC SHOP of any errors, discrepancies, incorrect statements, oromissions in any declaration or other submission that has been filed on theBuyer's behalf.

9.4 LAC SHOP Shipping. 
Thefollowing additional terms and conditions are applicable when LAC SHOP arrangesshipping on behalf of the Buyer ("LAC SHOP Shipping"):
9.4.1Shipping Estimates Prior to the Sale.9.4.1. Shipping Estimates Prior to theSale. The pre-sale shipping estimates provided are solely for informationalpurposes and do not include any permits, fees, or customs duties, ifapplicable. In the event that a Buyer modifies their delivery address afterpaying the Total Purchase Price, LAC SHOP reserves the right to reject thechange and ship to the original delivery location at our sole discretion. LACSHOP shall not be held responsible for any discrepancy between the pre-saleshipping estimate and the final shipping cost. LAC SHOP will be responsible forthe safe and secure packing of the Item and the provision of supportingphotographs of the packed Item(s) at the Seller's expense, notwithstanding anyterms to the contrary, if the Buyer selects the "Parcel" or"Self Ship" shipping option, such as Standard shipping, Expressshipping, or Rush shipping.
9.4.2. Abandonment by the buyer.The Buyer shall be deemed to have waived any post-delivery inspection period,including, as applicable, the Buyer Guarantee if the Item is not deliveredwithin 30 days of the Payment Deadline as a result of the Buyer's failure toprovide information, communicate, or cooperate with the shipper or LAC SHOP ina timely manner. If the Item is not delivered within 45 days of the PaymentDeadline, the Buyer acknowledges that they have abandoned and forfeited theItem ("Abandonment"), and we may take any action that is permissibleunder these Terms. The Buyer expressly consents that the Buyer is not absolvedof its obligation to pay any fees or expenses in the event of Abandonment,including the failure to receive any Item.
9.4.3. Fees forcancellations. The Buyer is responsible for paying LACSHOP the following cancellation fees based on the shipping service selected ifthe Buyer cancels the shipment after paying the Total Purchase Price, inaddition to any fees payable by the Buyer under section 8.2 (Buyer Default):(i) Premium: 50% of the original quote amount if cancelled within 7 days ofscheduled collection; (ii) Select: £150 if cancelled within 1 day of scheduledcollection; (iii) Parcel (Standard, Express, or Rush Shipping): £50 ifcancelled within 1 day of scheduled collection; or (iv) International: 50% ofthe original quoted amount if cancelled within 7 days of scheduled collection.

9.5. In-Transit Damage or Loss. In the event that the Item is lost ordamaged during transit, the LAC SHOP is committed to collaborating with theshipper to address the issue. Additionally, the LAC SHOP is accountable for thefollowing: (i) insuring such shipments unless an alternative agreement has beenpreviously established with the LAC SHOP; (ii) accepting a return, refund, ordiscount for a lost or damaged Item; and (iii) covering the cost of the returnshipping in the event of a damaged-Item return. To the extent that the LACSHOP's Buyer Guarantee applies to the Item that is lost, damaged, or sold in amanner that is not as described, the LAC SHOP will reimburse the Buyer for anyamounts paid to the Buyer pursuant to the Buyer Guarantee. Any claim forin-transit loss or damage must be submitted in writing to LAC SHOP no laterthan 2 business days after the latest expected delivery date or the Item hasbeen delivered to the Buyer's location when the Buyer selects LAC SHOPShipping. LAC SHOP must be provided with images that substantiate the claim fordamage, and all original packaging material must be preserved to facilitate anynecessary investigation of the claim for loss or damage. The insuranceprovider's decisions, as communicated to you by LAC SHOP, are final and bindingand cannot be appealed, challenged, or reversed. LAC SHOP is not responsiblefor negotiating with the insurance provider on your behalf. Please be advisedthat the Buyer will be unable to submit a claim for loss or damage to the Itemand LAC SHOP's Buyer Guarantee will not be applicable if the Buyer waives thesignature-upon-delivery requirement.

9.6. Costs of Return Shipping.
9.6.1. Purchasers.In the event that an Item is returned to the Seller or LAC SHOP as aconsequence of the Buyer's failure to provide a valid delivery address, pay anyapplicable customs duties, fees or costs, secure any required import/exportpermits, or provide any required information in a timely manner, (i) the Buyeris responsible for paying any return shipping charges; (ii) the Buyer is unableto provide a recipient to sign and accept delivery where necessary; (iii) Abandonment(as defined above); or (iv) any other Buyer's breach of the Buyer's obligationshereunder.

10. Cancellationsare permitted

ll purchases are final. Unless otherwisespecified in this section or with our written consent under circumstances thatwe deem appropriate at our sole discretion, all Purchases are final and may notbe revoked or modified by the Buyer once submitted or by the LAC SHOP onceconfirmed.

11. EU/UKCancellation Rights

In accordancewith the European Union ("EU") Directive on Consumer Rights(2011/83/EC) and the UK Consumer Contracts (Information, Cancellation andAdditional Charges) Regulations 2013, a consumer habitually residing in the EUor the UK (an "EU/UK Consumer") who purchases an Item from aprofessional seller (a "trader," as that term is defined in Article 2of 2011/83/EC) in the Services has the right to cancel their order, withoutliability and without cause, within 14 days of the Item's receipt by the consumeror their authorised representative (other than the carrier) (the"Cancellation Period"). This cancellation right is not applicable toItems made to the Buyer's specifications or to EU/UK Consumers who participatein live/public auctions through the Services. In order to exercise thisprivilege, the EU/UK Consumer must provide the Seller with a clear statement(e.g., a letter sent via email or postal mail) prior to the expiration of theCancellation Period. A model cancellation form can be found here. The EU/UKConsumer is required to return the Item in accordance with the Seller'sinstructions, with a minimum of 14 days from the date of cancellation. The costof returning any item to the seller is the responsibility of the EU/UKconsumer. All payments received from the EU/UK Consumer for the purchased itemwill be refunded by the Seller. Title and risk of loss may be reverted to theSeller until the Item is returned by the EU/UK Consumer, and any refund may bewithheld. A deduction from the refund may be made by the Seller for the loss invalue of the returned item as a result of the EU/UK Consumer's handling of theitem beyond what is required to determine its nature, characteristics, andfunctionality.

12. User disputes

We do not endorse or assume responsibility for the services, policies, conduct,performance, or non-performance of any User or third party (including any Third-PartyService provider), regardless of whether such User or Third Party Service isrecommended by us or otherwise made available through the Services. You arerequired to directly address any dispute you have with a User or third party("User Dispute") with that party. We may endeavour to assist you inresolving a User Dispute in good faith by relying solely on our interpretationof our Policies; however, we are not obligated to do so. Judgements regardinglegal matters or claims will not be rendered. Our decision is final and bindingon all parties and cannot be appealed, challenged, or reversed, including,without limitation, the applicability or resolution of any matter related toany Buyer Guarantee. You consent to our prompt cooperation in anyinvestigations that we may elect to conduct, as permitted by applicable law.Orders and transactions should be communicated through the Services.

13. Warranties andRepresentations of Artists and Galleries

The Artist andgallery represent and warrant to LAC SHOP and the Buyer that: (i) they are thesole owner of the Item or are duly authorised by the owner(s) of the Item tooffer and sell such Item; (ii) good and marketable title and right ofpossession to the Item will pass to the Buyer free from any claims, liens orother encumbrances of any third party, including but not limited to claims ofgovernments or governmental agencies; (iii) the Item is authentic and Sellerhas no reason to believe otherwise; and (iv) if applicable, the Item has beenlawfully imported into the jurisdiction in which it is currently located andlawfully exported subject to the Laws of the country in which it was formerlylocated, and any taxes and/or duties on such import and export have been paid(together the "Seller Warranty"). The Artist and Galleryacknowledge that the Seller Warranty is intended for the benefit of LAC SHOPand the Buyer of the Item, and that it will endure the term of this Agreementand the transactions it governs. The artist and gallery undertake to promptlyinform us in writing of any event or information that may result in the SellerWarranty being inaccurate or violated in any way.

13.1. Seller'sAuthorship Warranty.
Seller's AuthorshipWarranty. For a year from the date of sale (the "Authorship WarrantyPeriod"), the Seller guarantees to the Buyer that an item of a namedauthorship is genuine and not a forgery ("Authorship Warranty"). ThisAuthorship Warranty: (i) does not apply to Items whose description ofauthorship on the Services as of the sale date corresponded with the generallyaccepted opinion of scholars or experts or indicated that there was a conflictof opinions; (ii) does not apply to Items whose authorship as described on theServices as of the sale date is proved inaccurate by means of a scientificprocess not generally accepted for use until after the sale date or a processwhich as of the sale date was unreasonably expensive or impractical or likelyto have caused damage to the Item; (iii) is non-transferable and applies onlyto the original Buyer, and not to their successors or assigns or any otherparty and is automatically voided upon the Buyer's disposition in the Item toany third party; and (iv) "authorship" means only the creator of theItem, or the period, culture, source or origin of the Item, as the case may be,as described in the Item's listing. The Seller agrees to cancel the sale andrefund the Total Purchase Price of the Item to the Buyer, provided that none ofthe exclusions outlined above apply. The following terms and conditions must bemet: (i) the Buyer must notify the Seller within 60 days of receivinginformation that leads the Buyer to believe the Authorship Warranty has beenbreached, and in any case prior to the expiration of the Authorship WarrantyPeriod, and must provide such information to the Seller. (ii) the Buyer mustreturn the Item to the Seller in the same condition as it was at the time ofthe sale's closure. The Seller is accountable for the cost of return shipping.The Seller reserves the right to require the Buyer to obtain the writtenopinions of two (2) independent and recognised experts in the field mutuallyacceptable to the Buyer and the Seller, at the Buyer's expense, as a conditionto cancelling any sale under the Authorship Warranty, if the Buyer notifies theSeller of such breach more than 180 days after the delivery date. The Sellerreserves the right to obtain additional expert opinions at the Seller's ownexpense and will not be bound by any expert opinions produced by the Buyer. TheSeller will also reimburse the Buyer for the costs of expert opinions if thework is found to be inauthentic. The Buyer and the Seller will be the soleparties responsible for the activities detailed in this section 13.1. We willnot be held accountable to either the Buyer or the Seller in thesecircumstances. The Seller will reimburse LAC SHOP for any amounts paid to aBuyer pursuant to the Buyer Guarantee, to the extent that it applies to theauthenticity of any Item. The Buyer acknowledges and agrees that thecancellation of the sale and refund of the Total Purchase Price, subject to theaforementioned terms and conditions, will be the Buyer's sole and exclusiveremedy for any breach of the Authorship Warranty, in lieu of any other remedyor recourse that might otherwise be available at law or in equity,notwithstanding any terms to the contrary.

14. Compensation

You will defend, hold harmless and indemnify LAC SHOP, and their respectivedirectors, officers, employees, representatives, agents, successors andassigns, and the Buyer or Seller, as applicable, from and against any loss,damage, judgement, settlement, expense, interest and any other liability(including reasonable attorneys' fees and costs) related to or arising out ofany third party allegation, claim, lawsuit or proceeding ("Third PartyClaim"), to the extent that the Third Party Claim. We retain the right toassume exclusive control of the defence or settlement of any matter subject toindemnification by you. In this event, you agree to full cooperation with us inconducting such defence. In any event, you acknowledge that you will not resolveany such matter without our prior written consent.

15. Limitation of Liability; Disclaimer of Warranties

15.1. "ASIS; AS AVAILABLE." YOU ACKNOWLEDGE AND AGREE THAT YOUR ACCESS TO ANDUSE OF THE SERVICES IS AT YOUR OWN RISK. THE LAC SHOP SERVICES AND ALL ITEMS,CONTENT, FEATURES, OPINIONS, RECOMMENDATIONS, INFORMATION OR MATERIALS MADEAVAILABLE OR PURCHASED THROUGH THE SERVICES ARE PROVIDED ON AN "ASIS" AND "AS AVAILABLE" BASIS, UNLESS OTHERWISE SPECIFIED INWRITING. LAC SHOP MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESSOR IMPLIED, AS TO THE OPERATION OF THE LAC SHOP SERVICES OR THE ITEMS, CONTENT,FEATURES, OPINIONS, RECOMMENDATIONS, INFORMATION OR MATERIALS MADE AVAILABLE TOYOU THROUGH THE LAC SHOP SERVICES, UNLESS OTHERWISE SPECIFIED IN WRITING.
15.2.TOTHE FULLEST EXTENT PERMISSIBLE BY LAW, LAC SHOP DISCLAIMS ALL WARRANTIES,EXPRESS OR IMPLIED, OR ASSUME ANY LIABILITY OF ANY KIND INCLUDING BUT NOTLIMITED TO AVAILABILITY, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE,DESCRIPTION, SIZE, QUALITY, CONDITION, COLOUR, ATTRIBUTION, AUTHENTICITY,RARITY, IMPORTANCE, MEDIUM, PROVENANCE, EXHIBITION HISTORY, LITERATURE ORHISTORICAL RELEVANCE, TITLE, NON-INFRINGEMENT, SECURITY, ACCURACY, VALUE,INVESTMENT WORTHINESS, ANTICIPATED OR ACTUAL SELLING PRICE, REPRODUCTION ORINTELLECTUAL PROPERTY RIGHTS, AND WARRANTIES ARISING OUT OF COURSE OF DEALINGOR USAGE OR TRADE. LAC SHOP DOES NOT WARRANT THAT THE SERVICES, ITEMS,SOFTWARE, CONTENT, FEATURES, OPINIONS, RECOMMENDATIONS, INFORMATION ORMATERIALS INCLUDED ON OR OTHERWISE MADE AVAILABLE TO YOU THROUGH THE LAC SHOPSERVICES, SERVERS OR ELECTRONIC COMMUNICATIONS WILL BE SECURE, AVAILABLE,UNINTERRUPTED, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
15.3.TOTHE FULLEST EXTENT PERMISSIBLE BY LAW, LAC SHOP WILL NOT BE LIABLE FOR ANYDIRECT, INDIRECT, INCIDENTAL, PUNITIVE OR CONSEQUENTIAL DAMAGES HOWEVER CAUSEDAND REGARDLESS OF THEORY OF LIABILITY, UNLESS OTHERWISE SPECIFIED IN WRITING.WITHOUT LIMITING THE FOREGOING, TO THE FULLEST EXTENT PERMITTED BY APPLICABLELAW, OUR AGGREGATE LIABILITY FOR ANY CLAIM OR LOSS ARISING OUT OF OR RELATED TOTHIS AGREEMENT OR THE SERVICES OR THE TRANSACTIONS CONTEMPLATED IN CONNECTIONTHEREWITH WILL NOT EXCEED THE GREATER OF (I) ONE-HUNDRED U.S DOLLARS(GBP£100.00) OR (II) THE TOTAL AMOUNT YOU PAID US (IF ANY) TO USE OUR SERVICESIN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO SUCH LIABILITY.
15.4. BECAUSE LAC SHOP IS NOT INVOLVED IN TRANSACTIONSBETWEEN SELLERS AND BUYERS OR OTHER THIRD PARTIES, EACH PARTY RELEASES LAC SHOPFROM ANY AND ALL CLAIMS, DEMANDS, DAMAGES (ACTUAL AND CONSEQUENTIAL),LIABILITIES, AND EXPENSES (INCLUDING ATTORNEYS' FEES), OF EVERY KIND ANDNATURE, KNOWN AND UNKNOWN, SUSPECTED AND UNSUSPECTED, DISCLOSED ANDUNDISCLOSED, ARISING OUT OF OR IN ANY WAY CONNECTED WITH ANY USER DISPUTE, USERCONTENT OR THIRD-PARTY SERVICE, TO THE FULLEST EXTENT PERMITTED BY APPLICABLELA

16. Electronic Communications; Notice

Upon your assent, you agreeto receive all agreements, notices, disclosures, invoices, and othercommunications ("Notice") electronically. We may satisfy any "inwriting" requirement by making the Notice available on the Services or byemailing you at any email address you have provided to us. To obtain additionalinformation regarding your options with respect to electronic communications,please consult our Privacy Policy or reach out to us at info@londonartcollective.com. Please be advised that opting to unsubscribe may result in your inability toengage with specific Services.

17. Parties' Relationship; Third-Party Beneficiaries

We and you are independent contractors as stipulated in thisAgreement. No agency, partnership, joint venture, employment, fiduciary,trustee, sales representative, franchise, or exclusive relationship between youand us will be established by the Agreement either explicitly or implicitly.You are not authorised to make or accept any offer or representation on ourbehalf and will not represent yourself as our agent to any third party. TheAgreement does not grant any party, other than you or us, any legal or equitableright, remedy, or claim under or with respect to the Agreement, unlessotherwise specified in writing.

18. Severability; Modification

We reserve the right to modify our Services, Terms, Service Terms,Policies, and the Agreement at any time and without prior notification to you.This will be accomplished by publishing the most recent version of the Serviceswith immediate effect. We provide you with 15 days' notice when necessary, forexample, in the event of material changes that affect your obligations. Thisnotice is provided by posting the changes to the Service, sending you an emailnotification, or by other means. In the event that any provision of theAgreement is determined to be invalid, void, or unenforceable for any reason,that provision will be enforced to the fullest extent permitted or will bedeemed severable. The Agreement will otherwise remain in full force and effect.If you are not in agreement with any modification, you should cease using theServices. Changes to these Terms necessitate the signature of an authorisedrepresentative in writing and are not subject to modification by a purchase order.

19. Survival; Termination

Subjectto any Service Terms or other agreements between you and us, you are free todiscontinue your use of our Services at any time. Upon the termination of theAgreement, all rights and obligations pertaining to the Agreement willimmediately cease, with the exception of the fact that you will continue to beaccountable for the fulfilment of all obligations associated with transactionsthat were executed prior to the termination and for any liabilities that haveaccrued either before or as a result of the termination.

16. Miscellaneous

We will not be deemed to have waived any right or provision ofthis Agreement by any delay or failure to enforce it. We will not consider anyright or remedy under this Agreement to be renounced by us unless the waiver isin writing and signed by a LAC SHOP representative who intends and is dulyauthorised to agree to the waiver on our behalf. Email is insufficient for anywaiver. We will not be impeded from exercising any other right or remedy underthis Agreement by the solitary or partial exercise of any right or remedy. Theheadings employed in this Agreement are solely for the purpose of expediencyand have no legal or contractual implications.20.1. Force Majeure. The impacted party will utilise commerciallyreasonable efforts to mitigate the effects of a force majeure event and providenotice that it is deferring or preventing its performance as soon as reasonablypossible.20.2.Assignment. The Agreement will be enforceable by and against each party, aswell as their respective permitted successors and assigns, and will be bindingon them. Without our prior written consent, you are prohibited from assigning,transferring, or sub-licensing the Agreement or any right or obligation underit. We may transfer or assign the Agreement, as well as our rights andobligations, without your consent.20.3. Feedback. Weare open to receiving feedback regarding our Services. You consent to theunrestricted use, disclosure, reproduction, modification, licencing, transfer,and exploitation of any feedback for any purpose, whether commercial orotherwise, without any obligation to you. Regardless, we are under noobligation to act on, utilise, or respond to any feedback in any capacity.20.4. EffectiveDate. These Terms are effective as of July 23, 2024.
